By participating in the Curios Affiliate Referral Program, you acknowledge that you have read, understood, and agree to these Terms of Participation written below.

1. Acceptance of Terms
By enrolling in or participating in the Curios Affiliate Referral Program ("Program"), you ("Creator" or "you") acknowledge that you have read, understood, and agree to be bound by these Terms of Participation ("Terms"). If you do not agree, do not participate in the Program.
2. Definitions
- "Company" means Curios, Inc.
- "Referral Link" means the unique URL provided to you by the Company for sharing with prospective creators.
- "Referred Creator" means a new, unique individual who:
- Registers for a Curios creator account via your Referral Link and verifies their email address;
- Completes their creator profile in full; and
- Publishes at least one (1) project (e.g., ebook, audiobook, video, music release, or other eligible digital offering) on the Curios platform.
- "Qualified Referral" means a Referred Creator who satisfies all three requirements above within ninety (90) days of account registration.
- "Reward" means a one-time cash payment of twenty-five U.S. dollars (US $25.00) issued to you for each Qualified Referral, subject to these Terms.
3. Eligibility
To participate, you must:
- Maintain an active Curios creator account in good standing;
- Be at least eighteen (18) years of age or the age of majority in your jurisdiction;
- Reside in a jurisdiction where participation in referral programs is legal; and
- Comply at all times with the Curios Terms of Service, Community Guidelines, and these Program Terms.
Self-referrals, duplicate or fraudulent accounts, and referrals made through paid advertising on "Curios" or Company-branded keywords are prohibited and will void eligibility.
4. Referral Requirements & Verification
- Referred Creators must sign up exclusively through your Referral Link. Manual claims are not accepted.
- All three milestones (email verification, profile completion, project publication) must be completed within ninety (90) days.
- The Company will determine, in its sole discretion, whether a Referred Creator meets the criteria to become a Qualified Referral. Company decisions are final.
5. Reward Structure
- Amount. US $25.00 per Qualified Referral.
- Limit. Unless otherwise stated in writing, there is no cap on total Rewards; however, the Company reserves the right to impose limits or promotional bonus schedules at any time with or without notice.
6. Payment Terms
- Rewards accrue in your Curios account and are payable within thirty (30) days after the end of the month in which a Qualified Referral is confirmed.
- Payments are made via the payment method you designate in your Curios account (e.g., ACH, PayPal, or other methods supported by the Company).
- You are responsible for keeping your payment details current. The Company is not liable for delayed or misdirected payments due to inaccurate information.
- Taxes. You are solely responsible for any and all taxes, duties, or charges that may be imposed on Rewards under applicable law. The Company may issue IRS Form 1099-NEC or other tax forms as required.
7. Prohibited Conduct
You agree not to:
- Misrepresent the Program, the Curios platform, or your relationship with the Company;
- Engage in spam, bulk email, automated messaging, or deceptive practices;
- Run paid ads on search engines or social networks bidding on "Curios," "Curios Inc," or confusingly similar keywords;
- Create or use fraudulent, duplicate, or fake accounts;
- Offer monetary incentives or kickbacks beyond those provided by the Company;
- Violate any applicable law or third-party rights.
Violations may result in forfeiture of Rewards, suspension from the Program, and/or termination of your Curios account.
8. Program Changes & Termination
The Company may modify, suspend, or terminate the Program—or these Terms—at any time, in whole or in part, with or without prior notice. Any changes will be effective when posted on the Curios website or otherwise communicated to you. Qualified Referrals confirmed prior to the effective date of termination will be honored in accordance with these Terms.
9. Confidentiality & Publicity
Non-public information provided by the Company (e.g., dashboard metrics, upcoming features) is confidential. You may not disclose such information without prior written consent. The Company may identify you as a participant in the Program in marketing materials; if you prefer not to be named, notify the Company in writing.
10. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to the Program or these Terms, even if advised of the possibility of such damages. The Company's aggregate liability shall not exceed the total Rewards earned by you in the twelve (12) months preceding the claim.
11. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising from your participation in the Program, your breach of these Terms, or your violation of any law or third-party rights.
12. Independent Contractor
Participation in the Program does not create any partnership, joint venture, agency, franchise, or employment relationship between you and the Company. You are an independent contractor for all purposes.
13. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, U.S.A., without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms or the Program shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction in those courts.
14. Entire Agreement; Severability
These Terms constitute the entire agreement between you and the Company regarding the Program and supersede all prior or contemporaneous communications. If any provision is determined to be invalid or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.
